GENERAL TERMS AND CONDITIONS
These conditions explain your rights, obligations, and responsibilities and those of Black Pearl Company WLL.
A service contract is a two-way arrangement and it is important that everyone knows where they stand. Where we use the word ‘you’ or ‘your’ it means the customer: ‘we’, ‘us’ or ‘our’ means Black Pearl Company WLL. These conditions can only be changed or amended by our written agreement.
1. Our Quotation
Our quotation is for fixed price. It does not include customs duty & inspection, port handling or any other fees payable to government bodies, port authorities and shipping lines
We may change the price or make additional charges if any of the following have been changed:
a) Our costs increase (or decrease) because of currency fluctuations or changes in taxation .
b) We don’t collect or deliver goods above the ground floor.
c) Any parking or other fees or charges that we have to pay in order to carry out services on your behalf.
d) There are delays or events outside our reasonable control.
In all the above circumstances, you will pay the adjusted charges.
2. Work not included in the quotation
Unless agreed by us in writing we will not:
(a) Dismantle or assemble of cargo
(b) loading and offloading of cargo.
(c) Disconnect or reconnect appliances, fixtures, fitting or equipment.
(d) Take up or lay fitted floor coverings.
(e) Site preparation and roads inside the sites
(f) Move items from a loft, unless properly lit, & floored & safe access is provided.
Our staff are not authorized or qualified to carry out such work. We recommend that a properly qualified person is separately employed by you to carry out these services.
3. Your responsibility
It will be sole responsibility to:
(a) Declare to us the value of the goods being transported.
(b) Obtain at your own expense, all documents, permits, licenses, customs documents necessary for the transport to be completed.
(c) Be present or represented when receiving the cargo to check for any damaged, because once delivery note is signed we will not be responsible for any damage.
(d) Take all reasonable steps to ensure that nothing to be transported is left behind & nothing is taken away in error.
(e) Arrange proper protection of goods left in unoccupied or unattended premises, or where other people such as (but not limited to) to tenants or workmen are, or will be present.
(f) Provide us with a contact address for correspondence during transport.
4. Ownership of the goods
By entering this service contract you declare that:
(a) The goods to be transported and/or stored are your own property, or
(b) The person(s) who own or have interest in them, have given you authority to make this service contract, & have been made aware of these conditions.
You will meet any claim for damages and/or costs against us if these declarations are not true.
5. Charges if you postpone, cancel or delay the Transport
If you postpone or cancel this service contract, we may charge according to how much notice is given,
(a) More than 1 day before the removal was due to start; NIL
(b) In case the offloading at site is delayed, waiting charges will be applicable according to the agreed rate
6. Paying for the Transport
Unless otherwise agreed by us in writing:
(a) Payment is required, by cleared funds in advance of the transport schedule.
(b) You may not withhold any part of the agreed price for whatever reason
(c) In respect of all sums, which are overdue to us, we will charge a late payment interest of 10% per annum
7. OUR LIABILTY FOR LOSS OR DAMAGE
Our liability for loss or damage is limited, as set out in clause 8(a) below. You may request us to increase our liability, as set out in clause 8(d) below, subject to our express written agreement in advance of carrying out the transport and payment of an additional charge.
(a) In the event of our losing or damaging your goods, our maximum liability is 500 000 USD per claim
(b) We may choose to repair or replace the damaged item according to our insurance company decision.
(c) In case of total loss and we decide to pay for the damaged cargo, only the cargo value will be taken into consideration without the shipping cost, insurance and customs duty.
(d) If an item is repaired we are not liable for depreciation in value.
(e) In case that the cargo value is greater then 500 000 USD we can insure the eccess value and will invoice it to you as per actual receipt.
(f) No employee of Black Pearl Company WLL shall be separately liable to you for any loss, damage, miss-delivery, errors or omissions under the terms of the service contract.
(g) Black Pearl is not liable neither insured for jacking and skidding and lifting operations.
8. Time limit for claims
(a) For goods, which we deliver, you must note any visible loss, damage or failure to produce any goods at the time of delivery.
(b) We will not be liable for any loss or damage to the goods unless a claim is notified to us or our foreign correspondent in writing as soon as such loss or damage is discovered (or with reasonable diligence ought to have been discovered) & in any event within (7) days of collection of the goods by us, as the case may be.
9. Delays of delivery
(a) We will not be liable of any penalties, in any form, that might occur from any delays caused by our trucks.
10. Damage to premises or property other than goods
(a) We are fully liable for any properties damage caused by us during the transport of your cargo.
11. Our Right to Hold the Goods (lien)
We shall have aright to withhold and/or ultimately dispose of some or all the goods until you have paid all our charges & any other payments due under this or any other service contract. These include any charges that we have paid out on your behalf. While we hold the goods & wait for payment you will be liable to pay all storage charges & other costs incurred by our withholding your goods & these terms & conditions shall continue to apply.
12. Disputes
Disputes, controversies, questions or differences between the parties hereto arising out of or in connection with or in relation to any provisions of this Agreement or its interpretation, performance or non performance or any breach or the termination or expiration hereof shall be settled if possible in the first instance amicably in good faith & with sincerity within 45 days. If amicable settlement cannot be reached then the matter under dispute shall be settled by in court under the laws of the State of Qatar
13. Our right to sub-contract the work
(a) We reserve the right to sub-contract some or all of the work.
(b) If we sub-contract, then these conditions will still apply.
14. Route and method
(a) We have the full right to choose the route of delivery.
(b) Unless it has been specifically agreed in writing on our Quotation, other space/volume/capacity on our vehicles and/or the consignment may be utilized for consignments of other customers.
15. Advice and information
Advice & information in whatever form it may be given is provided by the company for the customer only. Any oral advice given without special arrangement is provided gratuitously & without contractual liability.
16. Applicable Law
The service contract and any other matter that arises from the service provided, even not mentioned in this contract, is subject to the Law of State of Qatar
17. Special Notes
A) We shall, at our own cost and expense, carry and maintain the following insurance during the execution of the work:
a) Workmen’s Compensation Insurance and / or Employer’s Liability Insurance.
b) Automobile Liability Insurance.
c) In transit Cargo Insurance up to 500 000 U.S.Dollars (as maximum Black Pearl liability).
B) We must ensure that the Drivers deployed for the transportation work must have
C) Valid Qatari work / resident permit under the second party sponsorship
D) Valid heavy vehicle Driving license
E) We shall ensure sufficient lashing and provision of dunnage and wooden chokes in a manner that ensures the safety of the shipment, equipment and staff involved in the operation.
F) Trucks deployed for this transportation shall be appropriate and commensurate with the best safety standards for transportation of Containers, Pipes , Equipments , Structures, Fittings etc, and should meet client’s safety requirements to enter site.
